Perscivo Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of Perscivo (the "Service"), provided by Perscivo LLC ("Perscivo," "we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. What Perscivo Is — and Is Not

Perscivo provides Decision Intelligence for Relationships. We help you organize information, identify observable patterns, and evaluate evidence related to your own dating and relationship decisions.

Perscivo does not make decisions for you, and Perscivo is not a substitute for your own judgment. The Service produces observations, patterns, evidence summaries, and recommendations based on information you provide. These outputs are informational only. You remain solely responsible for every decision you make, whether or not you consult Perscivo, and regardless of what Perscivo shows you.

Perscivo is not a dating platform, matchmaking service, background-check service, identity-verification service, or therapy or counseling service, and should not be relied on as any of those things.

2a. User Acknowledgment

You understand and agree that Perscivo provides informational analysis and decision-support tools only. You remain solely responsible for evaluating recommendations and making your own personal, professional, financial, or relationship decisions.

3. Eligibility

You must be at least 18 years old to create an account or use the Service. By using Perscivo, you represent that you meet this requirement.

4. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly if you suspect unauthorized access to your account. You agree to provide accurate information when creating and maintaining your account.

5. Subscription, Trial, and Billing

Perscivo offers a free trial period, followed by a paid subscription. Trial length, pricing, and features are as displayed to you at signup and may be updated from time to time; the version shown to you at the time you subscribe governs your subscription.

A valid payment method is required to begin your trial where applicable. Depending on how you subscribe, billing may be processed by Perscivo or by a third-party platform such as Apple or Google. If you do not cancel before the trial ends, your subscription will automatically renew and your selected payment method will be charged in accordance with the applicable platform's billing terms. You may cancel at any time through your account settings; cancellation takes effect at the end of your current billing period, and you will retain access through that period.

Subscription fees are non-refundable except where required by law or expressly stated otherwise.

6. Content You Provide

Your content. You may upload or enter information into Perscivo, including profile information, photographs, conversation screenshots, and manually entered conversation content ("Your Content"). You retain ownership of Your Content.

License to Perscivo. By submitting Your Content, you grant Perscivo a limited license to use, process, and store it solely to provide the Service to you — including generating analyses, Decision Briefs, recommendations, and message suggestions on your behalf. We do not use Your Content to train publicly available or third-party AI models on behalf of other users, or share it with other users.

Your responsibility for what you upload. You are solely responsible for Your Content, including ensuring you have the right to upload any information or images involving another person. Do not upload content that is unlawful, infringes another person's rights, or that you do not have a reasonable basis to share for your own personal, non-commercial evaluation.

7. Information About Other People

Perscivo's Service involves analyzing information about people you are evaluating — matches, conversation partners, and others — who are typically not Perscivo users and have not agreed to these Terms. You represent that any such information you provide is submitted for your own personal, non-commercial use in evaluating your own relationship decisions, and not to harass, stalk, surveil, or harm another person. See our Privacy Policy for how this information is handled.

8. How Perscivo Uses Artificial Intelligence

Perscivo uses artificial intelligence to organize information, identify patterns, summarize evidence, and generate recommendations and suggested messages. Perscivo does not make automated decisions on your behalf, and AI-generated output is informational only. Perscivo does not guarantee the accuracy, completeness, or outcome of any AI-generated analysis, observation, recommendation, or suggested message. Our AI works only from the information you provide — it cannot independently verify facts about any other person.

Photo analysis. When you upload a photograph, Perscivo's AI evaluates it solely for your benefit as the uploading user. Perscivo does not identify who is in a photo, does not compare people across different users' uploads, does not create or store persistent biometric templates, does not perform facial recognition, and does not attempt to verify anyone's identity.

9. Message Suggestions

Perscivo may generate suggested message drafts at your request. These are suggestions only. You are solely responsible for reviewing, editing, and deciding whether to send any message, and for the consequences of anything you choose to send.

10. Acceptable Use

You agree not to:

• Use the Service to harass, stalk, threaten, or harm another person
• Use the Service for identity verification, background checks, or any purpose beyond your own personal relationship-decision evaluation
• Attempt to reverse-engineer, decompile, or extract the underlying models or systems behind the Service
• Use the Service for any unlawful purpose or in violation of any applicable law
• Upload content that infringes another person's intellectual property or privacy rights
• Attempt to circumvent any usage limits, security measures, or access controls
• Use automated means (bots, scrapers) to access the Service outside of its intended interface

We may suspend or terminate your account for violating this section.

11. Image Storage

Image upload limits, retention periods, and deletion rules are described in our Privacy Policy, which forms part of these Terms.

12. Intellectual Property

Perscivo and its licensors own all right, title, and interest in the Service, including its software, design, trademarks, and brand elements. This includes, without limitation, Perscivo's scoring methodology, recommendation engine, prompts, software, user experience and interface design, trademarks, and the Decision Intelligence framework generally, as well as the formatting, structure, and underlying system behind any report or Decision Brief generated for you. Nothing in these Terms transfers any of that ownership to you.

You retain ownership of Your Content — including uploaded conversations, photographs, notes, and profile information you provide, as described in Section 6.

13. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Perscivo does not warrant that the Service will be uninterrupted, error-free, or that any recommendation will lead to any particular outcome.

14. Limitation of Liability

To the fullest extent permitted by law, Perscivo and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising from your use of or inability to use the Service, even if advised of the possibility of such damages. Perscivo's total liability for any claim arising from these Terms or the Service will not exceed the amount you paid to Perscivo in the twelve months preceding the claim.

15. Indemnification

You agree to indemnify and hold Perscivo harmless from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, Your Content, or your violation of these Terms.

16. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access to the Service, with or without notice, if you engage in — or we reasonably believe you have engaged in — abuse, fraud, harassment of another person, attempts to reverse-engineer or extract the underlying models or systems behind the Service, automated scraping, creation of multiple trial accounts to circumvent trial limits, or any other conduct that threatens the security, integrity, or availability of the Service or the safety of other people. We may also suspend or terminate for any other reason with reasonable notice, except where immediate termination is warranted (for example, to protect the safety of another person or the integrity of the Service).

If your account is suspended or terminated because you violated these Terms, you will not be entitled to a refund of any subscription fees already paid, except where required by applicable law. If your account is terminated for reasons unrelated to a violation of these Terms, any refund or account credit will be determined by Perscivo in its sole discretion, unless otherwise required by law.

17. Export Control and Sanctions Compliance

You may not use the Service if you are located in, or are a national or resident of, any country subject to U.S. government embargo, or if you are listed on any U.S. government list of prohibited or restricted parties (including the U.S. Treasury Department's Specially Designated Nationals list). By using the Service, you represent that you are not subject to any such restriction.

18. Governing Law and Disputes

These Terms, and any dispute or claim arising out of or relating to them, the Service, or your use of the Service, are governed by the laws of the Commonwealth of Kentucky, United States, without regard to its conflict-of-laws rules.

Informal resolution first. Before starting any court proceeding, you agree to try to resolve the dispute informally. Send written notice of the dispute to hello@perscivo.com describing the issue and the relief you are seeking. We will do the same for any dispute we raise with you. Both parties agree to negotiate in good faith for at least thirty (30) days from the date the notice is received. Either party may then proceed to court if the dispute is not resolved.

Courts. If informal resolution does not resolve the dispute, it must be brought exclusively in the state or federal courts located in the Commonwealth of Kentucky, and you and Perscivo each consent to the personal jurisdiction and venue of those courts. Either party may still seek injunctive or other equitable relief in those courts at any time to protect its intellectual property or confidential information, and either party may bring an individual claim in a small-claims court of competent jurisdiction.

Your statutory rights. Nothing in this section limits any right you have under the mandatory consumer-protection laws of your country or state of residence, or requires you to bring a claim in a forum those laws do not permit. Where such laws apply, they take precedence over this section to the extent of any conflict.

This section does not require arbitration, and neither party waives the right to a jury trial where that right otherwise applies.

19. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you — for example, by email or an in-app notice — before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
